We use the modal auxiliary verb “would” in sentences where we want to indicate possibility or potentiality, but not certainty.
Example:
  • “I would go with you to the movies tonight, but I have homework to do.”
We use “will” in sentences where we want to indicate certainty.
Example:
  • “I’ve finished my homework, so I will go to the movies with you tonight.”
