Action Taken : Tried to Reseat Memory issue still persist!
Next Move : Tried to reflash BIOS Firmware SUCCESS

BIOS Programmer Tools : TL866-11 PLUS
Firmware Link :

-READ CHIP
-SAVE AND BACKUP CHIP FOR SECURITY PURPOSES
-LOAD DOWNLOADED FIRMWARE
-PROGRAM FIRMWARE THEN WAIT....

Locate and desolder BIOS CHIP

very good question!! well actually the simple answer is "Luck" I guess...that's the least that I can do before I go hardware...
